If you google search for a utility called Dtom.lsp, you should be able to download it.
It's not mine so I can't offer to share it, sorry.
I used one called TXT2MTXT as well, but from memory I preferred Dtom.

Perhaps you have picked up a encrypted version?

I found dtom.lsp publicly available at http://cadtips.cadalyst.com/single-line-text/dtext-mtext. dtom.lsp starts by asking you to select an existing mtext entity which it will match the properties of. It seems to work well here with Bricscad V13.
There is a utility named TXT2MTXT.LSP at www,dotsoft.com. It is under the Autocad tab at the top, in the "free stuff" menu item. It also works in V13.
Be aware that mtext formatting is different from dtext formatting. These utilities may change the positions of your text entities when they are converted.0 -
